Reactify Social, Inc., a Delaware corporation ("Reactify," "we," "us," or "our"), operates the websites, applications, and related services available at https://reactifysocial.com and associated domains (collectively, the "Service").

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and related services operated by Reactify Social, Inc., a Delaware corporation ("Reactify," "we," "us," or "our") and made available at https://reactifysocial.com and associated domains (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You may need to create an account. You agree to provide accurate information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. We may work with third-party identity, authentication, or wallet providers; your use of those services may be subject to their terms as well.

2. Description of the Service

The Service is an online social platform that may include user profiles, feeds, short-form video and reels-style experiences, posts and comments, structured reactions (such as taps, ratings, sliders, and similar engagement mechanics), direct and group messaging, communities and groups, search and discovery, notifications, blocking and safety tools, optional wallet or token features, pay-per-view or similar monetization tools for creators, NFT-related or collectible features where offered, business and advertising tools, analytics, and other features we release from time to time. We may modify, suspend, or discontinue any part of the Service with or without notice.

3. User content and license

You retain ownership of content you submit ("User Content"). You grant Reactify a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, publicly display, publicly perform, distribute, transcode, create derivative works from (such as resized or compressed media), and otherwise use User Content as reasonably necessary to operate, promote, improve, and secure the Service, including training or improving recommendation, safety, or other systems where permitted by applicable law and our Privacy Policy. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or third-party rights.

You may delete certain User Content; copies may remain in backups for a period, and content shared with others or embedded off-platform may persist. Public blockchain transactions may be irreversible and outside our control.

4. Prohibited conduct

You agree not to:

  • Violate law or infringe intellectual property, privacy, publicity, or other rights.
  • Harass, threaten, defame, discriminate, doxx, or endanger others; share non-consensual intimate imagery; or exploit minors.
  • Distribute malware, spam, or deceptive schemes; scrape or excessively automate without permission.
  • Circumvent security, access non-public areas, or probe vulnerabilities except as part of a coordinated disclosure we authorize.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Use the Service to facilitate illegal gambling, sanctions evasion, money laundering, or terrorist financing.
  • Reverse engineer the Service except where prohibited by applicable law.

We may investigate violations, remove content, suspend or terminate accounts, cooperate with law enforcement, and take technical or legal action we deem appropriate.

5. Digital assets, wallets, and on-chain activity

Certain features may involve digital tokens, rewards, pay-per-view purchases, tips, transfers, NFTs, or other digital assets. You understand that blockchain transactions may be public, irreversible, and subject to network fees and volatility. Reactify is not a bank, broker, custodian, or investment adviser. Digital assets may lose value; tax consequences may apply. You are solely responsible for your wallet security, private keys, and compliance with laws in your jurisdiction. Nothing on the Service constitutes financial, legal, or tax advice.

6. Advertising and business use

If you create business profiles, run ads, or use creator or enterprise tools, additional commercial terms, order forms, or policies may apply. You are responsible for ad content, targeting, and compliance with advertising laws (including disclosures for sponsored content). We may measure delivery, engagement, and conversions using pixels, APIs, or similar technologies described in our Privacy Policy.

7. Fees and payments

Some features may be free; others may require payment in fiat, in-app credits, tokens, or other methods we support. Prices and taxes are as displayed at checkout or in applicable terms. Except where required by law, fees are generally non-refundable. Failed payments may result in suspension of paid features.

8. Intellectual property

The Service, including software, branding, logos, and design, is owned by Reactify or our licensors and is protected by intellectual property laws. Except for the licenses explicitly granted in these Terms, no rights are granted to you.

9. DMCA and copyright

We respect intellectual property rights. If you believe material on the Service infringes your copyright, you may send a notice compliant with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at help@reactifysocial.com with the information required by law. We may remove or disable access to allegedly infringing material and terminate repeat infringers in appropriate circumstances.

10. Third-party services

The Service may integrate third-party services (including wallets, blockchains, analytics, ad networks, and identity providers). Your use of those services is at your own risk and subject to their terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. USER CONTENT IS PROVIDED BY USERS; WE DO NOT ENDORSE IT.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the fullest extent permitted by law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REACTIFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO REACTIFY FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless Reactify and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute resolution; arbitration; class action waiver

Please read this section carefully; it affects your legal rights, including your right to file a lawsuit in court.

Informal resolution. Before filing a claim, you agree to contact us at help@reactifysocial.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. Except for claims that qualify for small claims court or claims for injunctive or equitable relief relating to intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules if you use the Service primarily for business purposes), except as modified here. The arbitration will be conducted in English. The seat of arbitration will be Delaware, United States, unless the arbitrator orders otherwise for convenience of the parties. One arbitrator will decide the dispute. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND REACTIFY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Reactify agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class action waiver is found unenforceable, then the entirety of this arbitration section will be null and void except for the informal resolution requirement.

Opt-out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing help@reactifysocial.com from the email associated with your account with the subject line "Arbitration Opt-Out" and your full name and username.

Federal Trade Commission and state rights. Nothing in this section limits your right to file a complaint with a government agency where applicable law allows.

15. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles that would require application of another jurisdiction's laws, except that residents of California (and other states) may have non-waivable consumer rights under applicable state law, including privacy rights described in our Privacy Policy.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice for conduct that we believe violates these Terms or harms the Service or other users. Provisions that by their nature should survive (including licenses granted for content shared with others, disclaimers, limitations of liability, indemnity, and dispute resolution) will survive termination.

17. Export and sanctions

You may not use the Service if you are located in, or a national of, a country subject to U.S. embargo or similar restrictions, or if you are on any U.S. government restricted-party list. You represent that you are not such a person or entity.

18. General

These Terms, together with our Privacy Policy and any additional terms we present for specific features, constitute the entire agreement between you and Reactify regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section titles are for convenience only.
